TallyTaxes — Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and TallyTaxes, operated by LionProDev, a sole proprietorship founded by Philip Cutting (“TallyTaxes,” “we,” “us,” or “our”). By creating an account or using TallyTaxes, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
1. The Service
TallyTaxes is AI-assisted, expense-classification software that helps you separate business and personal expenses, including by analyzing bank-transaction data you choose to connect through Plaid and documents you upload for optical character recognition (OCR). The service is provided on an ongoing (subscription) basis and may change over time as we add, modify, or remove features.
2. Not Tax, Accounting, Financial, or Legal Advice
TallyTaxes provides expense-classification software only. It is NOT tax, accounting, financial, investment, or legal advice, and it is not a substitute for a qualified professional. Expense classifications and other outputs are automated suggestions that may contain errors and are provided for your convenience. You are solely responsible for reviewing outputs and for your own tax filings, financial decisions, and legal compliance. You should consult a qualified tax, accounting, or legal professional before relying on any output. TallyTaxes is not a certified public accountant, tax preparer, financial advisor, or law firm, and no such professional relationship is created by your use of the service.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use TallyTaxes. The service is not directed to, and may not be used by, anyone under 18. By using the service, you represent that you meet these requirements.
4. Your Account and Responsibilities
- You are responsible for the accuracy of the information you provide and for all activity under your account.
- Two-factor authentication (2FA) is mandatory. Every account must have TOTP-based 2FA enabled; it cannot be disabled. You are responsible for safeguarding your password, your authenticator device, and your 2FA backup codes.
- You must keep your credentials confidential and notify us promptly at phil@lionprodev.com if you suspect unauthorized access to your account.
- You may not share your account or allow others to use it.
5. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of these Terms or applicable law;
- Upload or connect data you are not authorized to access or provide;
- Attempt to gain unauthorized access to the service, other users’ accounts, or our systems;
- Interfere with, disrupt, probe, or overload the service, or bypass its security or access controls;
- Reverse engineer, scrape, or copy the service except as permitted by law;
- Use the service to build a competing product, or resell or misrepresent the service.
We may suspend or terminate access for conduct that violates this section.
6. Bank Connections via Plaid
If you choose to connect a financial account, that connection is made through Plaid. You enter your banking credentials directly with Plaid — not with TallyTaxes — and you provide consent through Plaid Link’s consent flow. Your use of Plaid is also subject to Plaid’s own terms and privacy policy. You authorize TallyTaxes to access and use the financial data Plaid provides solely to deliver the service. You may disconnect a linked account at any time.
7. Payments via Stripe
Paid subscriptions are billed through Stripe. By subscribing, you authorize us (through Stripe) to charge your selected payment method for the applicable fees. TallyTaxes does not store your full card details; Stripe processes them. Fees, billing cycles, and any applicable taxes will be disclosed at the point of purchase. Except where required by law or expressly stated otherwise, fees are non-refundable. We may change pricing prospectively with advance notice.
8. Intellectual Property
TallyTaxes, including its software, design, and content, is owned by LionProDev and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service for its intended purpose while these Terms are in effect. You retain ownership of the data and documents you provide (“Your Content”), and you grant us the limited right to process Your Content only as needed to operate the service and as described in our Privacy Policy.
9. Termination and Account Deletion
- You may stop using the service and delete your account at any time. TallyTaxes provides self-service account and data deletion; on a verified deletion request we remove your data within 30 days, except where longer retention is legally required (see the Privacy Policy).
- We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the service or other users.
- Sections that by their nature should survive termination (including disclaimers, limitation of liability, intellectual property, and governing law) will survive.
10. Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that classifications or outputs will be accurate or complete. TallyTaxes is operated by a solo founder using reputable managed infrastructure; while we apply strong security practices, we cannot guarantee absolute security or availability.
11. Limitation of Liability
To the maximum extent permitted by law, TallyTaxes and LionProDev will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or tax-related penalties or interest, arising out of or related to your use of (or inability to use) the service. To the extent liability cannot be excluded, our total aggregate liability for any claim relating to the service is limited to the amount you paid us for the service in the 12 months preceding the event giving rise to the claim, or USD 100 if you paid nothing.
12. Indemnification
You agree to indemnify and hold harmless TallyTaxes and LionProDev from claims, losses, and expenses arising out of your misuse of the service, your violation of these Terms, or your violation of any law or third-party right.
13. Governing Law
These Terms are governed by the laws of the United States and the applicable state in which the operator is established, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in the United States for any dispute not otherwise subject to a required alternative process.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the version and effective date above and notify you by email and/or in-app notice before the changes take effect. Your continued use of the service after an update constitutes acceptance of the revised Terms.
